Acceptance of Terms...

By accepting Skyweb Designs (SD) Terms and conditions (TAC) electronically, and / or by using SD Services including but not limited to submission of content, payment or authorization of payment or sale, you (Client) agree that you will be bound by the following terms and conditions.

You agree that this electronic acceptance would be the same as if you had agreed to these Terms in writing.

These TAC may be updated at any time without notice to you, to stay up to date and to check the latest version of our terms you may check them at http://www.kinnerdesign.co.uk/terms-and-conditions.html.

By using SD you agree to the most recent version of the TAC and if you fail to comply with these TAC then you your design may result in termination.

SD creates Custom Myspace Designs and provides other Web-Related services. These include but are not limited to: updating and support of websites, myspace profiles and additional website related services.

SD is a Web-Related business and interacts with it's clients electronically. When you accept these TAC you consent to receive electronically from SD any notices, agreements, disclosures, or any other communications.

You agree that SD can use your provided email address to send you notices.

You agree to check your provided email regularly for any notices we may have sent you.

Notices sent from SD are effective from the moment that it is sent, regardless of whether you read the notice when you receive it or whether you actually receive the delivery of the notice.

We try to offer the very best service that we can, in order for us to do this there are certain guidelines and policies that must be followed. Anything that is in violation of these guidelines and policies are strictly forbidden and will result in immediate termination of our service.

Unacceptable Practices include, but are not limited to:

• Bulk emailing tools
• Distribution of Internet viruses or other harmful or destructive activity
• Harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racism or any other content or behaviour like these.
• Illegal activities such as Fraudulent Schemes, Copyright Violations, plagiarism, software piracy and all unauthorized use of materials or content.
• Intentional or unintentional violations of any applicable local, state, national or international law.
• Spamming and all other forms of unsolicited messages including, but not limited to: spam, chain letters, and junk e-mail

As a Client of SD you agree to conduct your business in a legal and professional manner. You understand that any information, text, software, music, images, videos, any other type of media and content that is displayed on your website is the responsibility of the Client. You are fully responsible for all Website Content and agree to hold SD harmless in the event of any legal issues brought against you for your business by any means necessary.

A lot of companies will take the full payment off you before they even commence work, at SD we do not do this, we ask for a deposit, we then start working as soon as we have your requirements and the deposit. With design work there will be many hours of work put into it, and sometimes the clients will not pay, due to several reasons, sometimes the client just changes their mind, doesn't want a design no more, doesn't even tell you or get in touch with you to tell you what's going on. Due to the reasons many companies get the payment first and then work and offer no refund. We believe that makes sense but we do not believe it's a good way to do things, paying all of the price up front is a lot to ask. SD works different, all that we ask for is a deposit of 50% of the final payment, once we receive 50% deposit and know your requirements we will begin work. This deposit is not refundable, as mentioned above many hours are put into this work and our Designers need to be paid for the time they put into it, this is a service not a product so the designing hours must be covered, we believe this way is more conveniant for clients, they will not have to pay the full price at the beginging, it's like meeting half way, we also believe this brings a better level of trust, as you are trusting us with half your money as are we trusting you to pay the rest at the end of the project.

Let us repeat this again deposits are not refundable, no matter the reason you can not get your deposit back unless it is in SD interest to do so, if SD can't continue with a Design for any reason then you will get a refund but for no other reason will you get a refund, this is to cover paypal cuts and the time spent on the designs.

Please also note the deposit is only needed when we have your requirements, any time before that, example, getting to know the client and getting the clients requirements will not require a deposit and we will not charge for that, only when we get to the design stage will we ask for a deposit.

SD will terminate any project with the client if SD believes the client has broken the TAC, no refund will be available, make sure you read and understand the TAC and this will not happen.

SD will never use your personal details for any other reason than getting in touch with you, we will not sell on your information to anyone else. SD may however use your project in our Portfolio, strictly for display purposes only, to show clients and future clients what we are capable of. None of your personal information will be shown in this portfolio, only a screenshot and a short description of your Myspace Profile Design, Logo Design etc will be shown.

Your use of SD Service is at your own risk, SD service is provided "as is".

SD will always try to meet your requirements the best we can however we can not always guarantee this, under no circumstance will you think of this as a guarantee.

You understand that and agree that any files received from SD is done at your own risk, you are responsible for virus scanning, although SD does check for viruses, it is still your responsibility to make sure you check the files again on your machine. SD will not be responsible for any damage done to your system, loss of data or anything else that results from the download of these files.

You understand that SD will not be responsible for any loss of profits, or any other type of loss, SD is all about the design side, it is not aimed at seo or marketing, advertising, we make you a design, nothing more, this is why the price is such a good price, if we where to offer these as well the price would be much higher. This mostly applies to Website Design, we make you a Website Design, but we are not responsible for the sales from the Website.

SD will not be liable for any delay or failure in performance resulting from acts of Internet failure, computer equipment failures, telecommunications failures, other equipment failures, electrical power failures, riots, civil disturbances, fires, floods, storms, explosions, or other casualty, illness, accidents and anything else of this type.

SD WILL NOT BE HELD RESPONSIBLE FOR CHANGES TO THE MYSPACE.COM DATABASE AND / OR PROFILE CODES. YOU UNDERSTAND THAT ANY DOWNTIME OR SUDDEN CHANGE TO THE WAY YOUR PROFILE IS DISPLAYED IS NOT A FAULT OF SKYWEB DESIGNS.

THIS CAN HAPPEN WHEN MYSPACE IS UNDERGOING MAINTENANCE AND UPGRADES. SD WILL NOT BE HELD REPONSIBLE FOR THESE CHANGES AND WE WILL NOT BE RESPONSIBLE FOR REPAIRING THESE CHANGES.

YOU AGREE THAT AND CHANGES MADE TO YOUR PROFILE AFTER IT HAS BEEN PUBLISHED TO MYSPACE.COM WILL RESULT IN ADDITIONAL PAYMENT AND YOU ARE AWARE THAT NO REFUNDS WILL BE MADE IF THESE CHANGES OCCUR.
